Rashi Dhir is a Senior Partner and Head of Corporate at DMD Advocates. With close to three decades of experience in corporate and cross-border transactions, he brings a unique blend of analytical thinking and business strategy to structuring, negotiating and closing complex commercial transactions. He advises international and domestic clients, including several Fortune 100, 500 and 1000 companies, private equity funds, venture capital funds, banks & financial institutions, and business houses. He specializes in areas pertaining to mergers and acquisitions, joint ventures, investment funds, private equity, banking & finance, corporate restructuring, insolvency, and bankruptcy. His transactional experience ranges over multiple jurisdictions including the US, India, ASPAC, Europe and South America.
In relation to investment funds, Rashi has significant experience ranging from advising on complex fund structuring and formations to investment & post-investment related activities. He has advised several investment funds in relation to representation of funds either alone or as lead members of a syndicate, structuring investments in portfolio companies, due diligence of prospective investee companies and targets, negotiation assistance, assisting in downstream investments, negotiation & drafting of complex transaction documents, advising on ongoing activities of portfolio companies, assistance with exit strategies and implementation thereof, regulatory support and approvals, and on-going and operational governance issues and investigations. He has worked and continues to work with several private equity platforms and venture capital funds, such as, Sequoia, Everstone, Lightspeed, Matrix Partners, Rabo Equity, Citibank Private Equity, Goldman Sachs, JP Morgan, Bear Stearns, Jacob Ballas, Forbes Capital, Tata Capital, and Greenwich Capital.
Before joining DMD Advocates, Rashi worked for over fifteen years in New York; first as a senior member of the Global Financial Products Group in Clifford Chance and then as Managing Director and General Counsel for leading financial institutions. He earned his LL.M. from Harvard Law School, US and his LL.B. from Delhi University, India. In 2019, he featured in India Business Law Journal’s ‘A-list 2019’ which recognized India’s top 100 business lawyers. He featured in the Forbes India list of ‘Top 100 Individual Lawyers -2022’ and ‘Top 100 Individual Lawyers -2024’. He was also recognized as a ‘Recommended Lawyer’ by Legal 500 and a ‘Notable Practitioner’ in the asialaw 2024 rankings.
