DMD Advocates Advises Frankly Wearing on 100% Stake Acquisition by Articore

DMD Advocates advised the founders, Naman Wadhwa and Angad Singh Puri, and the minority shareholders of Frankly Retail Private Limited (FRPL), on the sale of 100% of FRPL share capital to Articore Group Limited (Articore), a company listed on the Australian Securities Exchange. The definitive documents have been executed, and closing is expected to be completed shortly.
FRPL’s e-commerce marketplaces enable creators to design and sell custom merchandise. This acquisition marks a strategic step in Articore’s expansion into India. FRPL’s local expertise, coupled with Articore’s global marketplace scale and fulfilment capabilities, is expected to strengthen the Articore group’s ability to capture a meaningful share of the fastest-growing consumer market in India.
DMD Advocates assisted with the drafting, negotiation, and finalization of all deal documents.
